Terms of Service

You must be at least 18 years old and legally capable of entering into a binding agreement. You may not use the Services if applicable law prohibits you from doing so, if you are subject to sanctions that prohibit the activity, or if Dexter has previously suspended you for misuse of the Services.

You are responsible for determining whether your use of the Services is lawful in your jurisdiction and for complying with laws that apply to your activities, including tax, sanctions, anti-money-laundering, consumer-protection, and financial laws.

The Services may allow you to create and use a passkey-controlled self-custodial wallet; view assets and public blockchain activity; authorize agents and connected applications; open and manage spending Tabs or other bounded authorizations; initiate payments, purchases, transfers, swaps, and x402 transactions; receive research, market information, or agent assistance; and maintain related authorization, transaction, and receipt records.

Some Services may be delivered through third-party agent hosts, wallets, merchants, networks, protocols, data providers, or communications channels. Features may differ by device, network, jurisdiction, or interface. We may add, change, suspend, or discontinue a hosted feature, but these Terms do not give Dexter authority over your assets beyond authority you separately grant through the applicable wallet or onchain protocol.

3.1 Self-custodial ownership

Dexter does not take custody of customer wallet assets or possess your passkey credential. Your assets remain in your self-custodial onchain account until transferred through an action you authorize. You are responsible for your devices, authenticators, passkeys, account credentials, and any recovery methods available through your chosen platform. Dexter cannot promise that a lost device or unavailable authenticator can always be recovered.

3.2 Direct and advance authorization

Every transaction through Dexter must be authorized by you before it can execute. Authorization may be transaction-specific or may take the form of an advance authorization that you approve through your passkey. An advance authorization may identify the agent or connected service, permitted actions, spending cap, duration, counterparties, assets, networks, or other restrictions.

Transactions within an active authorization may execute automatically without a separate prompt. Transactions outside the authorization are rejected by the applicable policy or onchain account rules. Dexter cannot enlarge the authority you granted without additional authorization from you.

3.3 Tabs and delegated agents

A Tab or other delegated authorization gives an agent real ability to act within the limits you approve. A mistaken, compromised, or badly instructed agent may spend or lose the full amount available under that authorization. The cap limits your authorized exposure; it does not make the agent’s actions risk-free.

You are responsible for selecting agents and connected services, reviewing the authority requested, setting appropriate limits, monitoring their activity, and revoking authority you no longer want active. Revocation does not reverse transactions that have already been submitted or finalized and may remain subject to valid settlement or payment obligations created before revocation.

3.4 Transaction finality

Blockchain transactions may be irreversible. Before approving a transaction or advance authorization, review the relevant assets, amounts, recipients, networks, fees, limits, and expiration. Dexter cannot reverse a transaction merely because it was unintended, unprofitable, or initiated by an agent acting within authority you granted.

You must provide accurate information when the Services request it and keep your contact information current. You may not sell, transfer, or share access to your account in a way that defeats authentication or authorization controls. Notify us promptly at [email protected] if you believe your account, device, passkey, agent authorization, or connected service has been compromised.

You are responsible for reviewing active agent permissions and for securing the devices and third-party accounts you use with Dexter. Dexter may use security controls, rate limits, verification steps, or temporary restrictions to protect the Services and their users.

The Services may display a price, protocol fee, network fee, exchange rate, estimated slippage, merchant charge, or other cost before you authorize an action. Prices and estimates may change before execution because of network conditions, market movement, merchant availability, or third-party fees. You authorize the amounts and fee parameters shown in the transaction or authorization flow you approve.

You remain responsible for purchases and obligations created by your authorized agents. Unless required by law or expressly offered by the applicable merchant or service provider, completed blockchain payments and consumed digital services are not refundable. Merchant disputes, fulfillment, returns, and warranties may be governed by the merchant’s terms.

You are responsible for taxes, duties, reporting, and similar obligations arising from your use of the Services.

Dexter may present information generated by software, artificial-intelligence models, market-data providers, blockchains, or other third parties. That information can be incomplete, delayed, inaccurate, or unsuitable for your circumstances. You are responsible for evaluating an agent’s instructions and output before granting authority or relying on it.

Dexter does not provide investment, financial, legal, accounting, or tax advice and does not act as your fiduciary, broker, or investment adviser. Nothing in the Services is a recommendation, guarantee, or promise of profit, credit, eligibility, yield, or loss protection. Consult qualified professionals when appropriate.

Using digital assets, blockchains, smart contracts, agents, and connected financial services involves substantial risk. Those risks include:

• loss of some or all digital assets;
• volatility, illiquidity, slippage, and rapidly changing prices;
• smart-contract defects, protocol exploits, malicious tokens, and governance changes;
• network congestion, forks, outages, reorganization, or failed transactions;
• inaccurate market, identity, security, or pricing data;
• mistakes, hallucinations, or malicious instructions produced by agents or AI systems;
• compromise of a device, passkey provider, connected account, agent, merchant, or third-party service; and
• legal, regulatory, tax, or market changes that affect availability or value.

You accept the risks associated with the transactions and authorizations you approve. Do not authorize an agent to control more value than you are prepared to put at risk under that authorization.

The Services may interoperate with third-party wallets, agent hosts, merchants, blockchains, protocols, exchanges, data providers, communications providers, and software. Dexter does not control those services and is not responsible for their availability, security, content, pricing, performance, or legal compliance. Your use of a third-party service may be governed by separate terms and privacy policies.

A link, integration, or technical compatibility does not mean Dexter endorses, guarantees, or assumes responsibility for the third party. Dexter is not responsible for losses caused by a third-party service, except to the extent applicable law does not permit that responsibility to be excluded.

You may use agents and automated software with Dexter as intended by the Services. You may not use the Services to:

• violate law, sanctions, court orders, or the rights of another person;
• launder money, finance terrorism, commit fraud, manipulate markets, or conceal unlawful proceeds;
• obtain unauthorized access to accounts, systems, credentials, or data;
• impersonate another person or misrepresent your authority;
• distribute malware, exploit vulnerabilities, evade security controls, or disrupt the Services;
• scrape, overload, or make abusive automated requests outside the published interfaces and limits;
• infringe intellectual-property, privacy, publicity, or other rights; or
• help another person do any of the foregoing.

Dexter may investigate suspected misuse and may cooperate with lawful requests from authorities.

If you voluntarily provide a phone number and opt in to the Dexter transactional messaging program, you consent to receive recurring automated text messages from Dexter, including verification codes, payment links, session or funding details, receipts, and account or service alerts. Consent is not a condition of purchase. Message frequency varies, and message and data rates may apply.

Reply STOP to unsubscribe and HELP for help. You may also contact [email protected]. Carriers are not liable for delayed or undelivered messages. Your participation is also governed by the Dexter Privacy Policy.

Dexter and its licensors own the Services, including their branding, interfaces, documentation, designs, and proprietary software and technology. Subject to these Terms, Dexter grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.

Components expressly distributed under a separate open-source or source-available license are governed exclusively by that license. Except for rights expressly granted in these Terms or an applicable separate license, Dexter retains all rights in its software, systems, methods, designs, trademarks, patents, trade secrets, and other technology. No implied license to Dexter’s trademarks, patents, trade secrets, or other proprietary technology is granted.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from proprietary portions of the Services except as applicable law or a separate license expressly permits.

You retain ownership of information and content you submit. You give Dexter a limited right to process that material as necessary to provide, secure, support, and improve the Services you request. You represent that you have the rights and authority needed to provide the material and instructions you submit.

If you voluntarily provide product feedback, you permit Dexter to use it without restriction or compensation, provided that this does not grant Dexter ownership of your personal information or confidential materials.

The Services may be unavailable, delayed, limited, or changed. Dexter does not guarantee that a particular feature, network, integration, asset, merchant, agent host, or third-party provider will remain supported. Beta, experimental, or preview features may be changed or discontinued and may contain additional defects.

Where practical, Dexter may provide notice of a material hosted-service change. Dexter is not liable for third-party outages, blockchain conditions, or other events outside its reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DEXTER DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

DEXTER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS; THAT AN AGENT OR TRANSACTION WILL ACHIEVE AN INTENDED RESULT; OR THAT INFORMATION, PRICES, SECURITY RESULTS, OR THIRD-PARTY SERVICES WILL BE ACCURATE OR AVAILABLE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEXTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; TRADING OR INVESTMENT LOSSES; OR LOSSES CAUSED BY DIGITAL ASSETS, AGENTS, THIRD-PARTY SERVICES, BLOCKCHAINS, SMART CONTRACTS, OR TRANSACTIONS AUTHORIZED THROUGH YOUR ACCOUNT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEXTER’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE FEES YOU PAID DIRECTLY TO DEXTER FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

The exclusions and limits in this section apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless Dexter and its officers, directors, employees, contractors, affiliates, and agents from claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from your misuse of the Services, your violation of these Terms or applicable law, your agents or authorized users, or your infringement of another person’s rights.

This obligation does not apply to the extent a claim results from Dexter’s own unlawful conduct. Dexter may control the defense of an indemnified claim, and you agree to cooperate with the defense.

You may stop using the Services at any time and may request account deletion as described in the Privacy Policy. Dexter may suspend or terminate access to hosted Services when reasonably necessary to address a Terms violation, unlawful conduct, fraud, abuse, a security threat, nonpayment, or material risk to Dexter or other users.

Suspension or termination does not reverse blockchain transactions, revoke obligations already created, or erase records that Dexter must retain for security, dispute resolution, or legal compliance. Sections that by their nature should survive termination—including ownership, risks, disclaimers, liability limits, indemnification, and dispute provisions—will survive.

18.1 Informal resolution

Before filing a formal claim, you and Dexter agree to send written notice describing the dispute and requested relief and to attempt to resolve it informally for at least 30 days. Notices to Dexter must be sent to [email protected].

18.2 Binding individual arbitration

Except for eligible small-claims matters and requests for temporary or preliminary relief involving unauthorized access, misuse, or intellectual-property rights, disputes arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute. The Federal Arbitration Act governs this arbitration provision. The arbitration will be conducted in English, and the arbitrator may award the same individual remedies that a court could award.

18.3 Class and jury-trial waiver

YOU AND DEXTER AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree, the arbitrator may not combine multiple people’s claims. To the extent a dispute proceeds in court rather than arbitration, you and Dexter waive any right to a jury trial to the maximum extent permitted by law.

Nothing in this section prevents either party from bringing an individual matter in an eligible small-claims court or limits rights that applicable law does not permit to be waived.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provision. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For a dispute that is not subject to arbitration, you and Dexter consent to the exclusive jurisdiction of the state and federal courts located in Wyoming, except where applicable consumer law requires another forum.

Dexter may update these Terms as the Services or applicable requirements change. We will post the updated Terms and revise the “Last updated” date. If a change materially affects your rights or obligations, we may provide additional notice through the Services or your registered contact information.

Changes apply prospectively from their stated effective date. By continuing to use the Services after updated Terms become effective, you agree to the updated Terms. If you do not agree, you must stop using the Services and revoke any active agent permissions you no longer want to remain in effect.

These Terms and any feature-specific terms presented to you form the entire agreement between you and Dexter concerning the Services they cover. Feature-specific terms control if they expressly conflict with these Terms for that feature.

You may not assign these Terms without Dexter’s consent. Dexter may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.
